12.3 Responsibility and Cooperation AIS and the Town agree to cooperate in good faith regarding any claim, cybersecurity incident, or other event arising from services provided under this Agreement. Each party shall promptly notify the other of any known incident or claim that may reasonably result in liability under this Agreement. Any indemnification obligation shall be limited to the extent of AIS's responsibility for the applicable claim, as determined by agreement of the parties or applicable legal proceedings.
