6. Insurance Before beginning work and throughout the term, BNW will maintain insurance meeting the Town’s requirements as stated in the attached Schedule A and will provide certificates of insurance and any required endorsements upon request. Coverage will be issued by insurers authorized to do business in New York State and will name the Town and its officers, employees, and agents as additional insureds on a primary and non- contributory basis where required by the Town, and include a waiver of subrogation. 7. Responsibility for Work BNW is responsible for the acts and omissions of its employees, agents, contractors, and subcontractors in connection with the installation, operation, maintenance, and removal of the equipment. BNW will promptly repair damage to Town property directly caused by those activities. BNW shall indemnify and hold Town harmless from any and all damages, claims, or other liability related to or resulting from the installation, inspection, operation, maintenance, repair, and removal of the monitoring equipment. 8. General Terms This Agreement constitutes the entire understanding of the Parties regarding the monitoring equipment at this location and may be amended only by a written instrument signed by both Parties. Neither Party may assign this Agreement without the prior written consent of the other Party. This Agreement will be governed by the laws of the State of New York. 9.
