RESOLUTION: CONDITIONS APPROVAL OF SPECIAL USE PERMIT AND SITE PLAN FOR MILEBLOCK ROAD TIER 3 SOLAR ENERGY SYSTEM:
Conditions of the Special Use Permit and Site Plan was read by Attorney Bridget O’Toole:
FIRST. - Applicant and controlling record. The applicant and holder of the special use permit and site-plan approval is NED–New Energy Solar 19 LLC. The Applicant shall provide current identification of the Project owner, operator, and landowner and documentation demonstrating its authority to develop and operate the Project on the subject parcel. The Project address and parcel identification shall be consistent throughout the controlling documents, and the Code Enforcement Officer shall confirm the document index. Any substantive change in the approved applicant or Project shall be returned to the Town Board as required by applicable law.
SECOND. - Construction and operation in accordance with identified documents. The permit holder shall construct, operate, maintain, and decommission the Project in accordance with the specifically identified, dated plans and supporting documents in the Application, this Resolution, and applicable law. The Application and the controlling copies shall be filed with the Town Clerk and maintained with the permit record. The Town’s conditions control over inconsistent applicant proposals; no applicant request for a limitation or waiver is granted unless expressly stated in this Resolution. An unresolved inconsistency affecting design, compliance, or safety shall be resolved before the affected work proceeds. Filing revised documents alone does not authorize a material change.
THIRD. - Material changes require prior approval. No material change to the Project layout, equipment, access, screening, disturbance limits, or associated approved improvements shall be implemented without prior Town Board approval and any additional review or approvals required by law. Before undertaking a proposed change, the permit holder shall submit a written description, dated revised plans, and a marked comparison with the approved documents and Site Plan Set by CarminaWood last revised August 5, 2026 to the Code Enforcement Officer for referral to the Town Board where material. Material changes include changes affecting approved locations, dimensions, height, capacity, setbacks, access or emergency access, equipment characteristics affecting noise or safety, or the extent or effectiveness of screening. Administrative corrections may be accepted only to the extent authorized by applicable law and shall not alter substantive approval conditions. Changes shall also be reviewed for any required further SEQRA review and agency consultation.
FOURTH. - PILOT and/or Host Community Agreement. Before any building permit for the Project is issued, the permit holder shall enter into a PILOT agreement and/or Host Community Agreement with the Town, as determined and separately approved by the Town Board in accordance with applicable law. Each required agreement shall be fully executed by all necessary parties and filed with the Town Clerk, and any obligations expressly required before permit issuance shall be satisfied. This Resolution does not approve any agreement, payment amount, exemption, real-property-tax treatment, or waiver of a statutory notice or election requirement. No Town officer is authorized by this Resolution alone to execute an unapproved agreement.
FIFTH. - Operations and Maintenance Plan — supplementation and updates. The approved Operations and Maintenance Plan dated August 7, 2026 shall remain in effect throughout the Project’s life. Before issuance of a building permit, the permit holder shall submit a final Plan acceptable to the Town addressing apiary maintenance responsibilities, snow removal obligations, annual reporting requirements, vegetation management practices, and identification of responsible entities. Before construction, the permit holder shall submit the final manufacturer-required equipment warranty maintenance procedures and schedules for all major system components for incorporation into the Plan. Within 60 days after any change affecting the Plan, including a change in equipment, maintenance procedures, service provider, operational responsibilities, or other Plan information, the permit holder shall submit an updated, dated Plan and a description of the changes to the Code Enforcement Officer and Town Clerk. This 60-day period does not authorize a material Project change without prior approval or delay compliance with safety obligations. Contact-information changes remain subject to the shorter period in Condition SIXTH.
SIXTH. - Current contact information and Project signage. Before issuance of a building permit, the permit holder shall provide final identification and current contact information for the Project owner, operations and maintenance provider, emergency coordinator, construction contractor, and apiary operator to the Town Clerk and Code Enforcement Officer. Before commencement of construction, the permit holder shall supplement the Emergency Response Plan dated August 7, 2026 with complete stakeholder contact information, including the Construction Contractor, Emergency Coordinator, and Apiary Operator, together with final agency names, points of contact, addresses, and phone numbers. Before construction, the permit holder shall also confirm current contact information for the permit holder and operator, including a continuously available emergency telephone number. Required Project signage shall display current owner/operator and emergency contact information in a legible, readily visible manner consistent with the approved plans and applicable sign requirements. Following any change, the permit holder shall update both the Project signage and the information filed with the Town Clerk within 30 days. The permit holder shall maintain a functioning emergency contact at all times; the update period does not excuse an unavailable or inoperative emergency contact.
SEVENTH. - Landscaping and screening throughout the Project’s life. The permit holder shall install the landscaping and screening shown on the approved landscape plan and maintain the required plantings and retained screening vegetation for the entire life of the Project. The obligation includes appropriate watering, establishment care, pruning, invasive-vegetation control consistent with the approved documents, and replacement necessary to preserve the approved screening. Dead vegetation shall be replaced no later than the end of the next growing season following its death or discovery, with vegetation meeting the approved species, size, spacing, and screening specifications. Removal or substitution of required vegetation shall not reduce screening or depart materially from the approved plan without prior Town approval. The permit holder shall inspect required landscaping at least annually and document deficiencies and replacements in its maintenance records. All required landscaping shall be installed before operation, unless the Town Board separately approves a dated seasonal-completion arrangement under applicable law.
EIGHTH. - Truck routes, deliveries, and preconstruction road documentation. Before construction, the permit holder shall file a construction-delivery and truck-route plan identifying the routes, delivery arrangements, vehicle staging, site entry and exit, and measures to avoid queuing or obstruction on public roads. The plan shall be reviewed by the Town Highway Superintendent and other highway authorities with jurisdiction and approved by the Town through its authorized review process. The permit holder and its contractors shall follow the approved routes and delivery arrangements and obtain approval for deviations before use, except for an emergency requiring immediate action, which shall be promptly reported. Before construction-related hauling begins, the permit holder shall document the condition of affected roads, shoulders, drainage facilities, culverts, bridges, and other road appurtenances by dated photographs or video and a written condition record, with an opportunity for inspection by the applicable highway authority. Copies shall be filed with the Town Clerk and Highway Superintendent.
NINTH. - Repair of Project-caused Road damage. The permit holder shall repair damage to public roads and related appurtenances caused by Project construction, deliveries, maintenance, or decommissioning and restore them to their documented pre-activity condition, allowing for normal wear unrelated to the Project. Repairs shall conform to the requirements of the highway authority with jurisdiction. Unsafe conditions shall be addressed promptly, including immediate protective measures when necessary. Nonemergency repairs shall be completed on a schedule accepted by that authority, accounting for weather and construction conditions without leaving avoidable public hazards. The permit holder shall arrange a postconstruction inspection with the applicable highway authority, document any Project-caused damage, and provide evidence of completed repairs or a specifically approved remaining repair schedule before final local signoff.
TENTH. - Dust suppression and prevention of mud tracking. Throughout construction, the permit holder shall implement dust suppression and erosion and sediment controls consistent with the approved SWPPP and applicable permits. Stabilized construction entrances and other necessary controls shall be maintained to prevent mud and sediment from being tracked onto public roads. Any Project-related mud or debris deposited on a road shall be removed promptly using methods that do not discharge sediment into drainage systems or waters or create additional safety hazards. Work practices shall be adjusted when dust, mud, or sediment controls are ineffective. These obligations shall be communicated to and enforced with all contractors and delivery providers.
ELEVENTH. - Separate permits, agency authorizations, and continuing safeguards. Before the activity to which a requirement applies, the permit holder shall obtain all separate permits and authorizations required for construction, access, stormwater, wetlands, electrical work, and interconnection, and provide copies to the Code Enforcement Officer. The September 15, 2026 environmental-review resolution identifies NYSDEC’s July 6, 2026 determination that the then-reviewed layout would not impact State-regulated freshwater wetlands and did not require an Article 24 Freshwater Wetlands Permit, subject to further consultation for changes in activity, location, scope, or layout. It also identifies United States Army Corps of Engineers Nationwide Permit 14 correspondence; the permit holder shall comply with all applicable permit conditions, best-management practices, and guidelines. These references do not substitute for complete agency documentation or establish that requirements for a changed Project have been satisfied. Before issuance of a building permit, the permit holder shall provide a final decommissioning cost estimate certified by a Professional Engineer licensed in New York State, with revisions requested by the Town Engineer, Special Counsel to the Town or Town Attorney. Before construction, the permit holder shall complete required emergency-response contacts and coordination and furnish decommissioning security as required by Conditions TWELFTH and THIRTEENTH below. Before commencement of operations, the permit holder shall coordinate site access, emergency procedures, and training identified in the Emergency Response Plan with the Brant Volunteer Fire Company and other appropriate emergency-response agencies, including the Farnham Volunteer Fire Department identified in the environmental-review record in connection with the fire-access modification.
TWELFTH. - Decommissioning Plan — module disposal rate verification. Prior to commencement of construction, the Applicant shall verify (i) current per-pound recycling rates and (ii) per-trailer disposal fees for solar module ("E-Waste") recycling at Sunnking or a commercially equivalent facility. If recycling rates or the total quantity of modules have changed, the Decommissioning Plan finalized August 7, 2026—and the corresponding Decommissioning Bond amount (currently approved at $599,924.33)—shall be updated pro-rata to reflect the revised cost basis. Any resulting adjustment shall be limited to a mathematical pro-rata update using the methodology and cost assumptions otherwise approved by the Town, and shall not require further discretionary review absent a material change to the Project or decommissioning methodology.
THIRTEENTH. - Decommissioning Plan — approved bond surety amount. Prior to commencement of construction, the Applicant shall furnish and maintain decommissioning security in the amount of $599,924.33 (the "Approved Bond Surety Amount"), in the form previously submitted by the Applicant and approved by Special Counsel to the Town or the Town Attorney. In the event the final site plan and/or decommissioning plan has pro-rata adjustments to materials or quantities, the Approved Bond Surety Amount shall be updated pro-rata to reflect the revised cost basis. Any resulting adjustment shall be limited to a mathematical pro-rata update using the methodology and cost assumptions otherwise approved by the Town, and shall not require further discretionary review absent a material change to the Project or decommissioning methodology. This amount shall be revisited every five years and updated as needed to account for inflation or other cost changes.
FOURTEENTH. - Brant Volunteer Fire Department site walk-through. Upon completion of construction, the Applicant shall coordinate a comprehensive site walk-through for the Brant Volunteer Fire Department and its designated personnel. The tour, conducted in partnership with the Applicant’s Operations and Maintenance Plan vendor, shall also be open to any additional stakeholders identified by the Fire Chief, including the Brant Police Department. The walk-through shall be completed before commencement of operations as required by Condition FIFTEENTH below.
FIFTEENTH. - As-built plans and professional certification. After construction and before commencement of commercial operation or issuance of final local signoff, as applicable, the permit holder shall submit dated as-built plans prepared and certified by appropriately licensed New York State professionals and a signed and sealed professional certification that construction conforms to the approved plans, this Resolution, and applicable requirements within the certifying professional’s scope of practice. The submittal shall show the installed arrays, equipment, access and emergency-access improvements, fencing, screening, drainage and stormwater measures, and other required improvements. Any deviation shall be specifically identified; submission of an as-built plan does not approve an unauthorized deviation. The Code Enforcement Officer, with Town Engineer review as appropriate, shall verify compliance before the applicable operational authorization or final local signoff. Any required fire-department walk-through and emergency-response coordination shall be completed before operation. Temporary testing may occur only under separately issued lawful authorizations and shall not constitute approval for commercial operation.
SIXTEENTH. - Continuing compliance, inspection, and renewal. The permit holder shall maintain the Project in compliance with the approved plans and conditions, retain compliance and maintenance records, and provide inspection access and reports as required by applicable law and the approved O&M Plan. Any required permit renewal, annual reporting, inspection, and decommissioning-security adjustment shall remain applicable. These obligations shall bind the permit holder and any successor owner or operator to the extent permitted by law; no transfer shall release existing obligations or excuse any required Town approval.
SEVENTEENTH. - Administration and enforcement. The Code Enforcement Officer shall maintain a written condition-compliance record and shall not issue a permit or final authorization unless the conditions applicable at that stage are satisfied. Matters requiring Town Board discretion shall be referred to the Town Board; Town staff may not waive or materially amend these conditions. Noncompliance may be addressed through the remedies authorized by applicable law, including withholding permits or signoff and any authorized enforcement, suspension, or revocation proceedings, subject to required notice and opportunity to be heard. This Resolution does not create enforcement powers beyond those otherwise provided by law.
EIGHTEENTH. - Filing and notice. The Town Clerk shall file this decision in the Town Clerk’s office within five business days after the decision is rendered, mail a copy to the applicant, and make any additional notifications required by applicable law. The Clerk shall maintain the Resolution, controlling approved documents, and subsequent authorized amendments together as the approval record.
