Additionally, in the course of the representation, we may incur certain costs such as document reproduction, overnight mail, travel, etc. These disbursements and others will be billed on a monthly basis. Prior to the engagement of any independent consultants or experts, we will notify you of our recommendations to retain such an independent consultant and obtain your approval prior to incurring any costs for such a purpose. The attachment to this correspondence entitled “Standard Terms of Engagement” sets forth additional terms and conditions applied to our representation of this matter. If you fail to pay our bills promptly, we will have the right to cease performing further work and withdraw from the representation. Additionally, it is our responsibility to inform you that New York State has a procedure for arbitration (and in some cases mediation) of fee disputes which may arise between lawyers and clients in civil matters, with some exceptions. We will provide you with additional information regarding this procedure if you so desire. Preservation of Relevant Documents and Materials Please be advised of your responsibility to preserve all records and documents including any Electronically Stored Information (“ESI”). Out of an abundance of caution, we would like to remind you that, as part of your ongoing duties as a client, it is incumbent upon you to maintain and preserve all paper and electronic documents or devices that may contain information or materials in any way relating to or affecting the scope of our representation. This obligation includes a duty to preserve all Electronically Stored Information or other data stored on any computer system, storage media or any other electronic device within your custody or control. In this regard, relevant ESI includes, but is not limited to, email, electronic communications, electronic documents (including various drafts of the same document), spreadsheets, internet usage files, website material, meta-data, social media postings, information stored on electronic servers, hard drives, removable storage drives, voicemail, computer network information, and cellular telephones. Consequently, at this time you must take every reasonable step to retain and preserve this information until the final resolution of this action. In addition, until this matter is concluded, you must suspend any policy which allows for the periodic destruction of ESI on other documents. In the event you do not understand any aspect of this instruction, we request that you promptly notify us so that we can discuss and resolve any issues in this regard. If you have any questions concerning this matter, please do not hesitate to contact me. As an expression of your agreement to these terms, we ask that you sign this letter where indicated and return it to our firm. We look forward to working with you on a speedy and beneficial solution to this matter. Page 2 of 3
