The Town, its elected and appointed officials and employees, shall be included as additional insured parties under the CGL, Automobile and Excess/Umbrella coverages. Prior to commencement of the Collection Services, Company shall deliver to Town certificate(s) of insurance evidencing the required coverage. 23. MISCELLANEOUS PROVISIONS a. This Agreement shall be binding on and shall inure to the benefit of the Parties hereto and their respective successors and assigns. b. This Agreement shall be construed in accordance with the law of the State of New York. c. If any provision of this Agreement is declared invalid or unenforceable, then such provision shall be severed from and shall not affect the remainder of this Agreement; however, the Parties shall amend this Agreement to give effect, to the maximum extent allowed, to the intent and meaning of the severed provision. e. In the event either Party successfully enforces its rights against the other hereunder, the other Party shall be required to pay the prevailing Party’s attorneys' fees and court costs.
