Such schedules are subject to change due to delays in obtaining customer’s final approval of drawings and/or purchase authorization. Unforeseen events may also cause changes in such schedules. These events include but are not limited to customer change orders, account payment status matters, component material lead times, disruptions due to weather, workforce matters, etc. Kistner Concrete will not be held responsible for schedule changes resulting from such events. 4) If the customer’s account is determined to be “in default”, Kistner Concrete may, at its discretion, suspend or restrict further manufacture or delivery of orders pending or in production. If Kistner Concrete takes such action, the customer understands and acknowledges that any subsequent resumption of production or delivery activities is subject to, and dependent upon, scheduling availability at that point in time. Customer understands and agrees to defend and hold Kistner Concrete harmless for any adverse actions by any parties that may result from such suspension of manufacture or delivery. 5) Customer agrees to provide reasonable site access and traffic control or other personnel to assist when Kistner trucks must unload while parked on or near roadways, or in high activity locations. Customer will be responsible for excess delivery charges if site conditions warrant such assistance and personnel are not available to assist or if driver is otherwise delayed in unloading product beyond allotted time. 6) Customer agrees that in the event of a dispute resulting from conflicting terms between the customer’s P.O. (if any) and Kistner’s terms and conditions, the customer will work in a “good faith” manner to negotiate a mutually acceptable resolution of the issue. The customer agrees to notify Kistner Concrete of any non-negotiable P.O. terms prior to placement of order for production or delivery. Acceptance of customer’s purchase order or delivery of product by Kistner Concrete does not constitute a waiver of this provision. 7) Terms and conditions set forth on any trade account credit agreement signed by the customer apply to this order unless stated otherwise herein. 8) Adjustments for all product warranty, serviceability or fitness for application and related claims, including claims or back charges for field repair costs or other damages, are subject to, and shall be resolved in accordance with, the “General Product Warranty” in effect on the date of shipment. The “General Product Warranty” document is the sole governing warranty for all product related claims and appears in Kistner Concrete Product’s price catalog. A copy of this document is available upon request. 9) Should any provision hereof be finally determined inconsistent with or contrary to applicable law(s), such provision shall be deemed amended or omitted to conform therewith without affecting any other provision.
