MANAGED SERVICES AGREEMENT

Effective Date
This Managed Services Agreement ("Agreement") is entered into by and between the Town of West Seneca
("Town") and Alternative Information Systems ("AIS"). The parties agree that AIS will provide the managed IT,
cybersecurity, monitoring, backup, and support services described below for the fees and term stated in this
Agreement.
1. Agreement Term
Initial Term. The initial term is thirty-six (36) months beginning on the Effective Date, unless the parties agree in writing to a
different service commencement date.
Renewal. Any renewal or extension will be documented in writing and signed by both parties.
2. Scope of Managed Services
AIS will provide the following managed services for the Town and the Town Police environment. Quantities and pricing are based on
the attached quote and are summarized in Section 4.
