MASTER CONSULTING SERVICES AGREEMENT
BOA PREDEVELOPMENT & MARKETING
THIS CONSULTING SERVICES AGREEMENT (the "Agreement"), is made effective
as of July 14, 2026 (the "Effective Date"), by and between the VILLAGE OF GOWANDA, a
New York municipal corporation with a principal place of business at 27 East Main Street,
Gowanda, New York 14070 (the "Village"), and C & S Engineers Inc. ("Consultant"), a New
York corporation whose mailing address is 141 Elm Street, Suite 100, Buffalo, New York 14203.
RECITALS
A. The Village submitted a Brownfield Opportunity Areas Program (the "BOA Program")
Application to the New York State Departments of State to conduct BOA Pre-Development and
Marketing activities within the Village (the "Application").
B. The Village received a grant funding award of One Hundred and Eighty Thousand and
00/100 Dollars ($180,000) through the New York State Department of State BOA Program to conduct
the Master Contract activities outlined. A copy of the executed Master Contract is attached hereto
as Exhibit “A” and incorporated herein by reference.
Cc. The Village issued a Request for Proposals ("RFP") to seek professional services to
coordinate and provide pre-development and marketing activities within its New York State-
designated Brownfield Opportunity Area (BOA) to develop marketing strategies and materials
for identified key sites to promote redevelopment opportunities to potentially interested
businesses, investors, and developers more specifically described in the RFP which is attached
hereto as Exhibit "B" and incorporated herein by reference.
Dz In response to the RFP, the Consultant issued a Proposal and Statement of Qualifications
to the Village (the "Proposal"), a copy of which is attached hereto as Exhibit "C" and incorporated
herein by reference.
The Village and Consultant wish to establish a contractual arrangement whereby Consultant will
provide the services defined in Section 3 of the Proposal.
NOW, THEREFORE, in consideration of the mutual promises and the mutual covenants
and obligations contained herein, the Village and Consultant hereby agree as follows:
1 SCOPE OF WORK
1.1 Consultant shall perform the work and activities described in Section 3 of the Proposal
(the "Services"). Consultant shall provide the Services in accordance with this
Agreement and following the Standard Terms and Conditions and Program Specific
Terms and Conditions as identified with the Master Contract (Exhibit “A”). The
Consultant's obligations under this Agreement are solely for the benefit of the Village
and no other party is intended to benefit or have rights hereunder.
1.2. Consultant shall perform the work and activities within the timeframe established and
described in Section 7 of the Proposal (the "Services").
