PERMIT INDEMNIFICATION AND HOLD HARMLESS PROVISION The permittee, Riley Street Station, located at 27 Riley Street, East Aurora, New York, in consideration of the issuance of a permit by the Village of East Aurora for a St. Patrick's Day Party to be held on March 21, 2026, hereby agrees to the following: To the fullest extent permitted by law, the Permittee shall defend, indemnify, and hold harmless the Village of East Aurora, its officers, officials, employees, agents, and volunteers from and against any and all claims, actions, damages, losses, liabilities.judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or resulting from: • The issuance of the permit; • The conduct of the permitted event; • The use or occupancy of the premises located at 27 Riley Street; • Any act or omission of the Permittee, its owners, employees, agents, contractors, vendors, patrons, or invitees. This indemnification shall apply to claims for bodily injury, personal injury, death, or property damage, except to the extent caused by the gross negligence or willful misconduct of the Village of East Aurora. The Permittee further agrees to maintain commercial general liability insurance in a form and amount acceptable to the Village and to name the Village of East Aurora as an additional insured for the duration of the event. Nothing herein shall be deemed to waive any defenses, immunities, or protections available to the Village of East Aurora under the laws of the State of New York, including but not limited to the General Municipal Law.
