14. Force Majeure — We will not be liable for a failure to execute a Wire Transfer according to your instructions if an interruption in communication facilities or some other circumstance beyond our control, such as fire or flood, prevents the transfer, despite reasonable precautions we have taken. 15. Severability ~ |f any provision of this Agreement is finally determined by a court of competent jurisdiction to be unenforceable or invalid, then such determination shall apply only to the affected provision(s), and all other provisions of this Agreement shall remain in full force and effect. 16. General ~ You agree that only our wire transfer forms, methods, and procedures may be utilized. You also agree that in the event of an error, we may correct any such error without prior approval or notice to you. 16. Governing Law — This Agreement is governed by the provisions of Regulation J, 12 CFR Part 210, Subpart B, including the Appendices, to the extent that any wire transfer request is carried out. This Agreement is also subject to all applicable Operating Circulars of the Federal Reserve Bank in the district in which we are located, and any other applicable provisions of federal or state law. To the extent that Regulation J does not apply to this Agreement, this Agreement shall be governed by the laws of the state in which we are chartered, and any terms used in this Agreement which are not defined in this Agreement shall have the same meanings as defined in Article 4A of the Uniform Commercial Code. You understand and agree that Bank of Holland will only execute a Wire Transfer which meets the above guidelines, and which otherwise complies with the terms and conditions of this Wire Transfer Agreement.
